Federation of Welsh Anglers Constitution. "Title" The federation shall be called 'Federation of Welsh Anglers' (FWA). Objectives The objectives for which the federation is established are:
1. To unite the WSTAA, WFCA, WFSA under one National Governing Body (NGB) for Wales for the purpose of joint representation and to further develop the sport of angling in general (coarse, sea & game).
2. To raise monies for the Federation of Welsh Anglers funds or other purposes by the organisation of such events and activities as the Federation of Welsh Anglers shall determine, and to donate any such monies raised to such causes as the federation deem worthy - always provided that due regard is taken of the financial position of the federation.
3. To receive money or property by way of grant, donation, gift, sponsorship or any other manner, provided that the Federation of Welsh Anglers shall have power to disclaim any of the aforementioned, whether subject to a trust or not.
4 To be the responsible body for compiling and submitting one annual forward plan to the Sports Council for Wales that represents the three angling governing bodies for Coarse, Sea and Game.
5 To promote sportsmanship and angling codes of conduct.
6 To encourage joint representation and to support proposals submitted by one or all governing bodies in regards to the formulation and review of policies for the development and conservation of the sport in all it's aspects, and at all levels-national and international -and to ensure that all fish are recognised as having an amenity value.
7. All property and, assets to be used solely in connection with the activities and development thereof of the Federation of Welsh Anglers and in support of member Governing- Bodies.
8. To develop and maintain a national coaching and development programme for Wales.
SECTION A: MEMBERSHIP
AI. Membership of the Federation of Welsh Anglers shall consist of the WFCA, WSTAA and the WFSA. (The Federation of Welsh Anglers Coaching Foundation being a sub-committee of the FWA).
A2. The Executive Board shall be empowered at its absolute discretion to grant or refuse any application for board membership.
A3. The Executive Board will have powers to give financial assistance to either or all Governing Bodies.
SECTION B: EXECUTIVE BOARD
BI. All the affairs of the Federation of Welsh Anglers shall be managed by the Executive Board.
B2. The Executive Board shall consist of:
1 x Chairman 1 x Secretary 1 x Treasurer 2 x Representatives from each NGB
Advisory seats are allocated to:
1 x Representative from the Sports Council for Wales 1 x Representative from Environment Agency Wales
B3. The quorum for a meeting of the Executive Board shall be four fifths.
B4. The treasurer shall keep such proper accounts as will enable him/her to present at every general meeting.
B5. The Executive Board Chairman when attending meetings of the Executive Board shall not vote except when exercising a casting vote as chairman of the meeting when required.
B6. All officers will retire each year but will be eligible for re-appointment with a maximum of three years in one post.
Chairman WSTAA, Secretary WFCA, Treasurer WFSA
B7. If any other such positions are created they will also be for a term of 1 year unless in the opinion of the Executive Board additional time is warranted.
B8. The Executive Board shall be permitted to invite additional persons to any board meeting: when and if required to do so.
B9. The Annual General Meeting (AGM) shall be held no later than the last week in February each year. The agenda of the meeting shall be sent to each Board Member a least fourteen days prior to the meeting. Every Board Member of the FWA is entitled to attend together with four additional members of each NGB, all of whom will have voting rights. Any member of the Association is entitled to attend in a non-voting capacity. All officers to be elected at the AGM, nominations to be received one month prior to the date of the meeting. Nomination for representative members should, also be received one month prior to the AGM, to be appointed at the meeting.
B10. Any Board Member of the FWA can request a Special General Meeting, which the FWA Secretary will then convene within one month of the requisition being received. Only one business stated in the requisition shall be transacted at such meetings. Fourteen days notice of a Special General Meeting shall be given.
SECTION C: POWERS OF THE EXECUTIVE BOARD
C1. The Executive Board shall not have powers to interfere in the internal affairs of member Governing Body's except when requested to do so in writing.
C2. The Executive Board shall have powers to make byelaws that will benefit all angling.
C3. The Executive Board shall have powers to employ such paid staff and enter into any such agreement that ensures the protection is given to those working on behalf of the Federation of Welsh Anglers.
C4. The Executive Board shall such powers to appoint Sub - Committees for such purposes as it may deem necessary.
C5. To do all such other acts as they shall think expedient for promoting the objectives of the Federation of Welsh Anglers.
C6. Members of the Executive Board, representing each of the angling governing bodies, must have the support and full authority to make decisions from their respective organization.
SECTION D: EXECUTIVE BOARD CHAIRMAN
D 1. The Executive Board Chairman shall ensure proper procedure is carried out at all board meetings and of any other meeting called.
D2. The Executive Board Chairman shall be responsible for the implementation of all agreed policy.
D3. The Chairman shall be authorised to sign cheques for and on behalf of the Federation of Welsh Anglers, and shall be one of three authorised to sign cheques. Each cheque having to be signed by at least two out of the three authorised to do so.
SECTION E: EXECUTIVE BOARD SECRETARY
E1. The Board Secretary shall be responsible for the daily administration of the Federation of Welsh Anglers' affairs.
E2. The Board Secretary shall record minutes of all meetings and a copy of the minutes recorded shall be given to each member at the next available meeting.
E3. The Board Secretary shall be authorised to engage in such activities that will benef the Federation of Welsh Anglers or angling in general.
E4. The Secretary shall be one of three authorised to sign cheques on behalf of the Federation of Welsh Anglers and in the absence of both other signatories shall be authorised to sign cheques up to a value of £500 when and if required to do so.
SECTION F: EXECUTIVE BOARD TREASURER
F1.The Treasurer shall keep proper accounts of sums of money received and expenditure in relation to the Federation of Welsh Anglers affairs. And shall make such accounts available at every board meeting and shall prepare accounts for annual audit by the 31st December of each year.
F2. The Board Treasurer shall be authorised to sign cheques and shall be one of three authorised to do so and each cheque shall be signed by two of the three authorised do so. In the event of the other two signatories being absent the Treasurer may sign cheques up to a value of £500.
SECTION G: INTERESTS G1. Alterations or additions to the Constitution can only take place at an AGM or Special General Meeting as stated on the Agenda. Such proposed changes must be received one month prior and voted in without amendment, with two-thirds majority needed.
G2. The FWA Child Protection Policy is endorsed by the Federation as currently adopted by its members' bodies.
G3. The Federation endorsed the Anti-Doping stance as advised by the UK Sports Council.
G4. If any member, officer or employee of the Federation has a financial, commercial, personal or other interest either direct or indirect in any contract, proposed contract or other matter and is present at any meeting at which that contract or other matter is the subject of consideration, he or she shall, at the meeting or as soon as practical after its commencement, disclose the fact and shall not take part in the consideration or discussion of the contract or other matter or vote on any question with respect to it.
G5. Any interest which any close members of the family of the member, officer or employee may have in these matters shall also be declared when matters or issues are discussed which could affect their financial position.
SECTION H: DISSOLUTION H1. If at any time the Federation of Welsh Anglers shall pass in a general meeting by a majority comprising of three quarters or more represented and entitled to vote and voting a resolution of it's intention top dissolve, the Executive Board shall take steps to convert into money all property of the Federation of Welsh Anglers, with power however, to postpone or delay the conversion of any particular property if the Federation of Welsh Anglers shall authorise.
H2. In the event that the Federation of Welsh Anglers ceasing to exist, and following the discharge of all debts and liabilities, any assets at the time of dissolution shall be held in trust by the Federation of Welsh Anglers bankers and accountants until such time a new umbrella body is formed. In addition an appointed committee will be formed to ensure that the newly formed body has similar objectives as their own and that the Sports Council for Wales recognises the newly formed body. Once the appointed committee and the SCW are satisfied as to the aims and objectives of the newly formed body then the appointed committee shall authorise the hand over of all assets.
H3. No individual or individual GB shall obtain any assets from the Federation of Welsh Anglers.
